Airbus enters partnership with Spirit AeroSystems

Airbus SE ( stock exchange symbol: AIR ) has entered into a binding term sheet agreement with Spirit AeroSystems in relation to a possible acquisition of key actions related to Airbus, somewhat the production of A350 aircraft parts in Kinston, North Carolina, U. S., and St. Nazaire, France, of the A220’s arms and mid- aircraft in Belfast, Northern Ireland, and Casablanca, Morocco, as well as of the A220 beams in Wichita, Kansas, U. S.
With this deal, Airbus aims to maintain balance of offer for its industrial aircraft programs through a more sustainable approach both technically and economically for the various Airbus work items that Spirit AeroSystems is currently in charge of managing.
The acquisition of these activities would be covered by the transaction. Airbus will receive a nominal consideration of$ 1.00 in exchange for a payment of$ 559 million from Spirit AeroSystems, subject to adjustments, including based on the final transaction perimeter. A subsequent due diligence process is still necessary to enter into definitive agreements. Although there is no guarantee that a transaction will be concluded, all parties are eager to work together in good faith to advance and finish this process as quickly as possible.
